The Design Institute of Australia (DIA) is Australia's peak industry body for professional designers and represents Australian design and designers both domestically and internationally. With a rich history spanning over 70 years, DIA advocates for designer issues and lead stakeholder initiatives that leverage designers' voices and elevate their contributions. We are seeking a passionate and dedicated Volunteer Company Secretary to join our Board and play a pivotal role in our organization's governance and administration.


Job Description:

As the Volunteer Company Secretary at the Design Institute of Australia, you will be responsible for overseeing all governance matters and ensuring that the organization complies with legal and regulatory requirements. You will work closely with the board of directors, executive team, and other stakeholders to facilitate effective decision-making and maintain transparent governance practices. This is a unique opportunity for an experienced Company Secretary to contribute to the success of a dynamic and influential design institution while making a positive impact on the design community.


Key Responsibilities:

  • Manage board meetings, prepare agendas, and draft minutes to ensure efficient decision-making and compliance in accordance with DIA Constitution 2017 and DIA Charter 2021.

  • Maintain statutory registers, records, and documentation, ensuring legal and regulatory compliance.

  • Act as a key point of contact between the board and executive management, providing guidance on governance matters.

  • Support the development and implementation of corporate governance policies and procedures.

  • Facilitate communication between the board, committees, and executive management.

  • Keep abreast of changes in corporate governance laws and regulations and ensure DIA's compliance.

  • Assist in the planning and execution of the annual general meeting (AGM).

  • Provide guidance on legal and regulatory matters, ensuring DIA operates within the law.


Qualifications:

  • A tertiary qualification in business administration, law, or a related field.

  • Proven experience as a Company Secretary or in a similar governance role (voluntary experience also considered).

  • Strong knowledge of corporate governance principles and relevant legislation.

  • Excellent communication and interpersonal skills.

  • Attention to detail and strong organizational abilities.

  • Ability to work independently and as part of a team.

  • High ethical standards and the ability to handle confidential information with discretion.
